These Terms & Conditions ("Terms") govern your access to and use of the CG-TODO mobile and web application (the "App"), operated by Charles Technologies ("we", "us", "our"). By signing in to or using the App, you agree to these Terms. If you do not agree, please do not use the App.

1. About the App

CG-TODO is a workplace task-management application that enables task creation and delegation, sub-tasks and progress tracking, calendars, dashboards, notifications, comments and file attachments within an organisation. The App is made available to employees and authorised members of organisations that have arranged access with us; it is not a general consumer service.

2. Accounts and eligibility

• Accounts are created and administered by your organisation's administrators. You must use the App only with the account issued to you.
• You must be at least 18 years of age and authorised by your organisation to use the App.
• You are responsible for keeping your login credentials confidential and for all activity under your account. Notify your administrator promptly of any suspected unauthorised use.

3. Acceptable use

You agree to use the App only for legitimate workplace purposes and in compliance with applicable law and your organisation's policies. You must not:

• upload or share content that is unlawful, infringing, defamatory, or malicious (including viruses or harmful code);
• attempt to gain unauthorised access to the App, other users' accounts, or the underlying systems, or probe, scan or test their vulnerability;
• interfere with or disrupt the operation of the App, or use it in a way that imposes an unreasonable load on our infrastructure;
• copy, modify, reverse-engineer, resell or sublicense the App or any part of it, except as permitted by law.

4. Your content

Tasks, comments, attachments and other material submitted through the App ("Content") remain the property of you and/or your organisation. You grant us a limited licence to host, store, transmit and display Content solely to operate and provide the App. You are responsible for ensuring you have the right to upload any Content you submit. Content created in the course of employment may also be subject to your organisation's ownership and records policies; visibility of Content within the App is governed by role-based permissions configured for your organisation.

5. Intellectual property

The App, including its software, design, logos and documentation, is owned by or licensed to Charles Technologies and is protected by intellectual property laws. Except for the limited right to use the App under these Terms, no rights are granted to you.

6. Notifications

The App provides in-app notifications and, where you opt in on your device, push notifications for matters such as task assignments and reminders. You can manage or disable these at any time through the App's notification preferences or your device settings.

7. Availability and changes

We strive to keep the App available and reliable, but it is provided on an "as is" and "as available" basis. We do not warrant uninterrupted or error-free operation. We may update, modify, suspend or discontinue the App or any feature, and may perform maintenance, at any time. Where practical, we will give reasonable notice of material changes.

8. Suspension and termination

We or your organisation's administrators may suspend or terminate your access to the App at any time, including where these Terms are breached, where your employment or engagement with the organisation ends, or where required for security or legal reasons. Upon termination, your right to use the App ceases; handling of Content after termination is described in our Privacy Policy.

9. Limitation of liability

To the maximum extent permitted by law, Charles Technologies shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, data, or business opportunity, arising out of or related to your use of or inability to use the App. Our total aggregate liability for all claims relating to the App shall not exceed the amounts (if any) paid to us for your access to the App in the twelve months preceding the claim. Nothing in these Terms limits liability that cannot be excluded under applicable law.

10. Indemnity

You agree to indemnify and hold harmless Charles Technologies from claims, damages and expenses (including reasonable legal fees) arising from your breach of these Terms or your misuse of the App, to the extent permitted by applicable law.

11. Privacy

Our collection and use of personal information in connection with the App is described in our Privacy Policy, which forms part of these Terms.

12. Governing law and disputes

These Terms are governed by the laws of India. Subject to any mandatory provisions of applicable law, the courts at Chennai, Tamil Nadu shall have exclusive jurisdiction over disputes arising out of or in connection with these Terms or the App.

13. Changes to these Terms

We may revise these Terms from time to time. Material changes will be notified through the App or by other reasonable means, and the "Effective date" above will be updated. Continued use of the App after changes take effect constitutes acceptance of the revised Terms.
